The Simline Partner Programme (Affiliate Programme) Terms and Conditions set out the rules under which Partners refer customers to the simline.eu store and commissions are settled.
§1 General provisions
- These Terms govern the Partner Programme, also referred to as the affiliate programme (the "Programme"), operated by Simline Sp. z o.o., ul. Garbary 100/164, 61-757 Poznań, Poland, KRS 0001197608 (District Court Poznań – Nowe Miasto i Wilda, 8th Commercial Division), NIP 7831938221, REGON 542864867, share capital PLN 5,000 (the "Organiser"), in the online store simline.eu (the "Store").
- These Terms constitute terms of service within the meaning of Article 8 of the Polish Act on the Provision of Services by Electronic Means and govern solely the Programme. Ordering, payment, delivery, withdrawal and complaints about goods are governed by the Store Terms and Conditions; cashback by the Loyalty Programme Terms.
- Under the Programme, the Partner makes Partner Links (affiliate links) to the Store available to third parties, and the Organiser grants the Partner a Commission on Qualifying Orders placed through those Links.
- Definitions:
- Partner — a person holding an Account in the Store whose application has been accepted by the Organiser;
- Account — a customer account in the Store, operated under the Store Terms and Conditions;
- Consumer — a natural person acting for purposes not directly related to their business (Article 22¹ of the Polish Civil Code) and a sole trader with consumer rights (Article 7aa of the Polish Consumer Rights Act);
- Business Partner — a Partner taking part in the Programme in the course of their business and entitled to issue invoices;
- Partner Link (Affiliate Link) — a URL to the Store or a product, containing the Partner's unique identifier, generated in the Account panel;
- Customer — a person who entered the Store through a Link and placed an order;
- Session — an uninterrupted visit to the Store starting with entry through a Link and lasting until the browser is closed, the store session expires or another Link is used;
- Qualifying Order — an order placed during a Session, paid in full and dispatched, not cancelled and not subject to withdrawal during the Validation Period;
- Commission — an amount in PLN, being a percentage set by the Organiser of the net value of a Qualifying Order;
- Validation Period — 21 days from dispatch of the goods;
- Balance — the Loyalty Programme balance of the Partner's Account, to which Commission settled in the Store is credited.
- Participation is voluntary and free of charge. These Terms are available free of charge in a form that allows them to be downloaded, saved and reproduced.
§2 Joining the Programme
- Any adult holding an Account may join: a Consumer, a natural person not running a business, or a business. The application is submitted from the Account panel with the required details; a Business Partner also provides invoicing details.
- The application is an offer to conclude a participation agreement. The Organiser reviews it within 14 business days and may accept or reject it without giving reasons; the agreement is concluded upon acceptance confirmed in the Account panel or by e-mail. Before acceptance, Links are unavailable and no Commission is earned.
- By applying, the Partner accepts these Terms and declares the details provided are true and will be kept up to date. The Organiser is not liable for the consequences of untrue or outdated details.
- A Partner participates from one Account only. The Organiser may refuse or exclude a person who creates multiple Accounts or reapplies after exclusion. An application by a minor is void; Commission earned on a minor's Account is forfeited and the Account is removed from the Programme.
- The Partner is not an employee, agent, proxy or representative of the Organiser and may not make statements, incur obligations, give warranties or accept payments on its behalf. The Partner acts in their own name and on their own account. The Organiser guarantees no level of income; examples and calculations of Commission are for illustration only, and the applicable rate is shown in the Account panel.
- A Partner who is a Consumer may withdraw from the participation agreement within 14 days of its conclusion (Article 27 of the Consumer Rights Act) by sending a statement to the address in §8(1). By applying, the Partner requests that Links be provided before that period expires and acknowledges that withdrawal does not cover Commission earned up to the date of withdrawal, which is settled under §5.
§3 Partner Links and attribution
- After acceptance, the Partner generates a general link to the Store or a product link in the Account panel and shares it in the places and formats of their choice, subject to §6.
- An order is attributed to the Partner if the Customer placed it during a Session started by that Partner's Link. Attribution applies only within the current Session; the Organiser does not use cookies assigning the Customer to the Partner for longer. An order placed during a later visit without re-entering through the Link is not attributed.
- If the Customer used several Partners' Links in one Session, the order is attributed to the Partner whose Link was used last.
- A product Link attributes the entire order placed during the Session to the Partner, including other goods.
- Attribution is automatic, based on data recorded by the Store's system. The Organiser does not attribute orders manually on the basis of statements and is not liable for missing attribution caused by blocked scripts or cookies, the browser, extensions, antivirus software or any other cause outside the Store's system, nor for orders placed outside the Store.
- The Organiser is not responsible for the availability of services on which the Partner publishes Links, nor for removal or reach limitation of publications by their operators.
§4 Earning Commission and validation
- The Commission rate is set by the Organiser, shown in the Account panel and may differ between products, categories, brands or Partners. The Organiser may change the rate at any time with effect for orders placed after the change; this does not require an amendment to these Terms and does not affect Commission already earned.
- Commission is calculated on the net value of the Qualifying Order — the sum of the prices of the goods excluding VAT, actually paid by the Customer after discounts, codes, Vouchers and Gift Vouchers. The base excludes VAT, customs duties, delivery, insurance, cash-on-delivery fees and other charges.
- No Commission is earned on: orders from the Partner's own Account (own purchases, covered solely by the Loyalty Programme), orders by B2B customers with an individual price list, purchases of Gift Vouchers, Outlet and clearance products (unless the Organiser states otherwise in the Account panel), and orders cancelled, unpaid, uncollected, subject to a chargeback or obtained in breach of these Terms.
- Attribution does not affect the Customer's rights — with an Account, the Customer receives cashback under the Loyalty Programme regardless of the Commission.
- Commission is "pending" from dispatch. After the Validation Period it becomes "approved", provided the order has not been cancelled, returned or subject to a chargeback. If during the Validation Period the Customer withdraws or reports a return or complaint, the Commission remains "pending" until the matter is resolved, even beyond 21 days.
- A return by the Customer (withdrawal, accepted complaint with refund) does not generate income in the Programme: Commission on the returned goods is cancelled and, if already approved or paid out, deducted from subsequent Commission or the Balance, or otherwise repayable on the Organiser's request. A partial return reduces Commission proportionally.
- The Partner sees aggregated data only in the Account panel: number of orders, amounts, statuses and dates. The Partner does not receive Customer data or order contents and may not request them.
- The data in the Organiser's system form the basis for settlement. Objections are raised under §8 within 30 days of the end of the month concerned; afterwards the settlement is deemed accepted.
§5 Settlement and payment of Commission
- Approved Commission is settled by cash payment — for Business Partners only, on the basis of their invoice (or bill, if not a VAT payer) — or by use in the Store: transfer to the Balance and generation of a Voucher under the Loyalty Programme Terms.
- A Partner who is not a Business Partner settles Commission solely in the Store; no cash payment is available, which the Partner acknowledges by joining.
- Cash payment is available when approved, unsettled Commission totals at least PLN 100. The Business Partner requests payment in the Account panel, receives a statement and issues an invoice for the net amount of approved Commission (a VAT payer adds VAT) described as "marketing service — Simline Partner Programme, period …".
- The Organiser pays by bank transfer to the account on the invoice within 14 days of receiving a correct invoice; an invoice inconsistent with the statement or with incorrect details is returned for correction, and the term runs from the correction. No payment is made to third parties or in cash. A Partner established outside Poland invoices without Polish VAT (within the EU — with a reverse-charge annotation and EU VAT number); the costs of international transfers and currency conversion are borne by the Partner, and payment is made in PLN or EUR at the Organiser's discretion.
- Commission transferred to the Balance is subject to the Loyalty Programme Terms (no cash exchange, non-transferable, 12-month validity, Voucher valid 30 days) and cannot later be paid out in cash. A Business Partner may choose use in the Store also below the PLN 100 threshold.
- It is the Partner's responsibility to keep track of deadlines; the Organiser may, without obligation, send reminders. Approved Commission not settled within 12 months of approval expires with no right to payment, reinstatement or transfer to the Balance.
- The Partner is solely responsible for taxes and public charges relating to Commission. The Organiser is not the Partner's income tax remitter and does not issue PIT-11 unless required by law.
- The Organiser may withhold payment or transfer to the Balance while a reasonable suspicion of a breach is investigated, for no longer than 60 days, informing the Partner.
§6 Partner's obligations
- The Partner decides where and how to share Links. The Organiser neither prescribes nor verifies places of publication and bears no responsibility for them.
- The Partner's activities must comply with the law, the terms of the services used and good practice. In particular, the Partner:
- labels publications containing Links as advertising or a partnership in a visible and understandable manner (e.g. "#ad", "#advertisement", "affiliate link"), in accordance with the Polish Act on Counteracting Unfair Market Practices and the recommendations of the President of UOKiK;
- does not provide false or misleading information about the Store, goods, prices, promotions, availability, warranty or purchase conditions;
- does not make promises, warranties or statements on behalf of the Organiser and does not present themselves as the Organiser, its employee or representative;
- does not send Links in unsolicited correspondence (spam) or in breach of the Act on the Provision of Services by Electronic Means or the Electronic Communications Law;
- does not place Links in content that is unlawful, offensive, infringes third-party rights or damages the Organiser's reputation;
- does not generate clicks or orders artificially (bots, scripts, orders intended for return, orders for the Partner's benefit from other Accounts) and does not use Links for own purchases;
- does not run paid campaigns (Google Ads, Microsoft Ads, Meta Ads and similar) on keywords containing "Simline", the domain simline.eu, their variants or misspellings, and does not direct such ads to the Store — the only restriction on promotion channels;
- does not use techniques recording a click without the user's conscious action (hidden frames, pop-unders, automatic redirects, cookie stuffing) and does not mask the Link so as to hide that it leads to the Store;
- publishes opinions and reviews only about goods they own or have tested, does not present their own content as opinions of the Store's customers and does not post it in the Store as a product review.
- The Partner may use the "Simline" name, logo and product materials from the Store solely to promote Links under the Programme, without misleading modification, registering domains, profiles or marks containing the Simline name, or granting sub-licences. The licence is non-exclusive, free of charge and expires with participation. The Partner may not suggest being an authorised distributor or representative of brand manufacturers sold in the Store (e.g. MOZA, Simagic, Simucube, Fanatec, Conspit) or use their marks other than in materials from the Store; manufacturers' materials are used at the Partner's own risk.
- The Partner is responsible for the content they publish and its compliance with the law (copyright, press law, data protection, advertising rules). If the Organiser receives a claim, demand, complaint or proceedings related to the Partner's activities, the Partner shall, on request, join the matter, provide explanations and cover the reasonable costs, penalties and damages incurred by the Organiser.
§7 Organiser's liability
- The Organiser is liable to the Partner solely for calculating and settling Commission under these Terms. It is not liable for income levels, clicks, conversion, changes to the offer, prices or rates, or Customers' decisions.
- The Organiser is not responsible for the content, channels or manner of publishing Links, the Partner's relations with their audience, breaches of third-party services' terms or their consequences (blocks, content removal, third-party claims).
- The Organiser may suspend the Programme, Links or the Account panel for technical work, outages or force majeure; this gives rise to no claims, and Commission earned earlier remains valid.
- Towards a Business Partner, the Organiser's liability is limited to the Commission approved in the 6 months preceding the event and excludes lost profits; this does not apply to intentional damage. Towards a Consumer, general rules apply.
§8 Complaints and disputes
- Complaints concerning the Programme are submitted by e-mail to support@simline.eu or in writing to the registered office, stating the Account e-mail, the period and the objections. The Organiser responds within 14 days; towards a Consumer, no response means the complaint is accepted (Article 7a of the Consumer Rights Act).
- A Consumer may use out-of-court procedures under the Polish Act of 23 September 2016 on Out-of-Court Resolution of Consumer Disputes, in particular the Provincial Inspector of the Trade Inspection in Poznań or a consumer ombudsman.
- Disputes with Consumers are resolved by the court having jurisdiction under general rules; with other Partners — by the court for the Organiser's registered office.
§9 Termination of participation
- The Partner may withdraw at any time in the Account panel or to the address in §8(1). Approved Commission is settled under §5, pending Commission after the Validation Period. Links stop working upon withdrawal.
- The Organiser may terminate participation without giving reasons with 14 days' notice sent to the Account e-mail; Commission is settled as in paragraph 1.
- The Organiser may exclude the Partner with immediate effect for a breach of §6, false details, artificial traffic or orders, acting to the Organiser's detriment, or an Account block under the Store Terms. Commission not paid out and not transferred to the Balance is forfeited, and the Organiser may claim reimbursement of Commission paid out for orders obtained in breach. The Partner is informed with the reason.
- Deletion of the Account is equivalent to withdrawal from the Programme.
- The Organiser may terminate the Programme with 30 days' notice; Commission earned up to that date is settled under §5, and Commission on the Balance is subject to the Loyalty Programme Terms.
§10 Personal data
- The controller of the Partner's data (Account details, invoicing details, bank account, Link statistics, Commission history) is the Organiser. Data are processed to operate the Programme (Article 6(1)(b) GDPR), fulfil tax and accounting obligations (point (c)) and pursue claims and prevent abuse (point (f)).
- Customer data are processed solely by the Organiser as seller; the Partner is neither recipient nor processor. Data of the Partner's own audience (e.g. mailing lists) are processed by the Partner as independent controller.
- Data are stored for the duration of participation and thereafter as required by tax law and until claims are time-barred. Full information is in the Privacy Policy.
§11 Amendments and final provisions
- These Terms apply from 1 January 2025.
- The Organiser may amend these Terms for important reasons (changes in law, in the Store's or Programme's functionality, in settlement rules, prevention of abuse), notifying Partners by e-mail at least 14 days in advance. A Partner who does not accept the amendments may withdraw before that date; continued use of Links constitutes acceptance. Amendments do not affect Commission earned earlier.
- A change to Commission rates, the list of covered products or the payment threshold is not an amendment to these Terms; it is announced in the Account panel with effect for orders placed after the announcement.
- Matters not covered are governed by Polish law, in particular the Civil Code, the Consumer Rights Act and the Act on the Provision of Services by Electronic Means. The choice of Polish law does not deprive a Consumer from another EU Member State of the protection of the mandatory provisions of that State (Article 6(2) of the Rome I Regulation).
- Nothing in these Terms limits Consumers' rights under mandatory law. A provision found invalid or unfair (Article 385¹ of the Civil Code) does not affect the validity of the others.
- These Terms are available on simline.eu in a form that allows them to be downloaded and saved (PDF); archived versions are in the terms archive.
