The Simline Loyalty Programme Terms and Conditions set out the rules for earning and using cashback on purchases in the simline.eu store.

§1 General provisions

  1. These Terms govern the Loyalty Programme (the "Programme") operated by Simline Sp. z o.o., with its registered office in Poznań, ul. Garbary 100/164, 61-757 Poznań, Poland, entered in the Register of Entrepreneurs of the National Court Register kept by the District Court Poznań – Nowe Miasto i Wilda in Poznań, 8th Commercial Division of the National Court Register, under KRS number 0001197608, NIP (tax ID) 7831938221, REGON 542864867, share capital PLN 5,000 (the "Organiser"), in the online store at simline.eu (the "Store").
  2. These Terms constitute terms of service within the meaning of Article 8 of the Polish Act of 18 July 2002 on the Provision of Services by Electronic Means and govern solely the earning and use of Cashback. They do not govern the placing and fulfilment of orders, the conclusion of sales contracts, payment, delivery, withdrawal from the contract or complaints about goods — these matters are governed by the Store Terms and Conditions, the information in the Payment and Delivery and Returns and Complaints sections and, for Gift Vouchers, the Gift Voucher Terms; personal data are processed in accordance with the Privacy Policy. In the event of any conflict concerning orders, the Store Terms and Conditions prevail. Matters not covered here are governed by the Store Terms and Conditions.
  3. The Programme grants the Participant a discount on future purchases in the Store (Cashback). Cashback is not a prize, remuneration or monetary benefit. The Programme is not a game of chance, promotional lottery or betting within the meaning of the Polish Gambling Act of 19 November 2009 — the award of Cashback does not depend on chance.
  4. Definitions:
    • Participant — a person holding a registered Account in the Store who has placed an order meeting the conditions of §3;
    • Account — a customer account registered in the Store at simline.eu/en/registration, operated under the Store Terms and Conditions;
    • Consumer — a natural person acting for purposes not directly related to their business activity (Article 22¹ of the Polish Civil Code) and a sole trader with consumer rights (Article 7aa of the Polish Consumer Rights Act);
    • Qualifying Order — an order placed in the Store from the Participant's Account, paid in full and dispatched, which has not been cancelled or subject to withdrawal from the contract during the Validation Period;
    • Cashback — an amount expressed in PLN, determined for the goods in a Qualifying Order in accordance with §3, credited to the Participant's Account and entitling the Participant to generate a Voucher;
    • Balance — the total Cashback credited to the Account and not yet used, visible in the Account panel;
    • Validation Period — 21 days from the date the goods in a Qualifying Order are dispatched; during this time Cashback has "pending" status and cannot be used;
    • Voucher — a discount code generated by the Participant from the Balance and redeemed in the Store cart;
    • Validity Period — 12 months from the date Cashback is credited to the Account.
  5. Joining the Programme is voluntary and free of charge. These Terms are made available free of charge in a form that allows them to be downloaded, saved and reproduced (Article 8(1)(2) of the Act on the Provision of Services by Electronic Means).

§2 Conditions of participation

  1. A Participant may be any adult holding a registered Account in the Store. Participants may be Consumers or businesses purchasing at the Store's standard prices. The Programme does not cover B2B customers to whom the Organiser has granted an individual (special) price list — orders placed by such customers are not Qualifying Orders and do not earn Cashback.
  2. Cashback is earned only on orders placed from an Account registered before the order is placed. Orders placed as a guest (without logging in) are not Qualifying Orders, even if an Account is later registered under the same e-mail address. The Organiser does not credit Cashback retroactively.
  3. A Participant joins the Programme upon placing their first order from the Account after the date these Terms enter into force. Placing an order from the Account constitutes acceptance of these Terms; the Terms are available in the Store before the order is placed.
  4. One person may participate in the Programme from one Account only. The Organiser may refuse to credit Cashback or may cancel the Balance if it finds that the Participant creates multiple Accounts to obtain Cashback more than once for the same order or otherwise circumvents the rules of the Programme.
  5. The Participant may withdraw from the Programme at any time by sending a statement to the address indicated in §6(1). Withdrawal results in the loss of any unused Balance; Vouchers generated before withdrawal remain valid.
  6. Deletion of the Account (at the Participant's request or in accordance with the Store Terms and Conditions) is equivalent to withdrawal from the Programme.

§3 Earning Cashback

  1. Cashback is calculated on the net value of the Qualifying Order, understood as the sum of the prices of the goods excluding VAT, actually paid by the Participant after any discounts and discount codes. The calculation base excludes VAT, customs duties and other public charges, delivery costs, shipment insurance, cash-on-delivery fees and any other charges related to the order.
  2. The Cashback amount for a given product is shown on the product page in the Store and may differ between products, categories, brands or promotional campaigns. The amount shown on the product page at the time the order is placed applies. These Terms do not set a fixed rate; the Organiser may change the Cashback amount for individual products without amending these Terms, which does not affect Cashback already earned on orders placed. The Organiser may also set a maximum Cashback amount per order or per period; the applicable limit is published in the Store and applies to orders placed after its introduction.
  3. The following are excluded from the Programme: Gift Vouchers, products in the Outlet category and products on clearance sale. The Organiser may also exclude other products or promotions governed by separate terms. A product excluded from the Programme shows no Cashback amount on its product page.
  4. For orders paid in a currency other than PLN, Cashback is converted to PLN at the exchange rate applied by the Store on the date the order is placed and is credited to the Account in PLN.
  5. Cashback is credited to the Account within 21 days of the date the goods are dispatched (Validation Period). During the Validation Period Cashback has "pending" status and is visible in the Account panel but cannot be used. The Validation Period serves to settle any withdrawal from the contract or return. If, before it expires, the Participant submits a withdrawal statement or reports a return or complaint concerning goods from that order, the Cashback remains "pending" until the return or complaint is resolved, even beyond 21 days.
  6. After the Validation Period expires, Cashback obtains "available" status and increases the Balance, provided the order has not in the meantime been cancelled, returned in full or subject to a payment chargeback. A partial return reduces Cashback in proportion to the value of the returned goods (§6).
  7. Cashback is earned only on the part of the price of the goods that the Participant paid using the payment methods available in the Store (card, payment operator, bank transfer, instalments, cash on delivery, cash on personal collection). It is not earned on the part of the price covered by a Voucher or Gift Voucher, nor on the purchase of a Gift Voucher itself.
  8. The Balance does not bear interest. The Organiser provides a credit history in the Account panel: order number, amount, status and end date of the Validity Period.
  9. In the event of a discrepancy between the Balance and the order history, the Participant may file a complaint in accordance with §6; the data in the Organiser's system form the basis for settlement.

§4 Using the Balance and Vouchers

  1. The Participant uses the Balance solely by generating a Voucher in the Account panel. A Voucher may be generated only from Cashback with "available" status.
  2. The Participant chooses any Voucher amount not exceeding the available Balance; there is no minimum amount and no minimum order value. Upon generation of a Voucher, the Balance is reduced by its value. A Voucher is single-use and is redeemed in full in one order — it cannot be split across several orders.
  3. A Voucher takes the form of an alphanumeric code and is redeemed by entering it in the Store cart before placing the order. A Voucher reduces the price of the goods; it does not cover delivery costs or other charges related to the order.
  4. A Voucher is valid for 30 days from the date of generation; the expiry date is visible in the Account panel. An unused Voucher expires at the end of that period and its value does not return to the Balance. The Participant should generate a Voucher only shortly before a planned purchase. Generating a Voucher before the end of the Cashback Validity Period is effective even if the Voucher's 30-day term ends after that Period.
  5. Only one Voucher may be used per order. A Voucher cannot be combined with other Vouchers or with any other discount codes — either a Voucher or a discount code may be applied in the cart. A Voucher may be combined with a Gift Voucher and with price reductions shown on the product page. The Organiser may exclude the use of Vouchers in selected promotions or for selected products; such exclusion is stated in the promotion terms or on the product page.
  6. The value of a Voucher is deducted from the prices of the goods in the order in proportion to their value and is shown as such on the sales document. If the value of a Voucher exceeds the value of the goods in the order, the unused part of the Voucher is forfeited; the Organiser does not give change or restore the difference to the Balance. The Participant should generate a Voucher for an amount not exceeding the planned purchase. A Voucher is an individual discount granted to the Participant under the Programme, not a price reduction announced by the Organiser: redemption of a Voucher does not constitute a price reduction within the meaning of Article 4 of the Polish Act of 9 May 2014 on Informing about Prices of Goods and Services and does not affect the lowest-price-in-30-days information displayed in the Store.
  7. A Voucher is assigned to the Participant's Account and may be redeemed only from that Account. The Voucher code may not be passed on to another person or redeemed in a guest order.
  8. A Voucher does not guarantee the availability of any particular product or that its price will be maintained. Goods are sold at the prices applicable in the Store at the time the Voucher is redeemed.

§5 Nature of Cashback, restrictions and Validity Period

  1. Cashback is a discount on future purchases in the Store and constitutes a non-pecuniary entitlement towards the Organiser. Cashback, the Balance and Vouchers are not electronic money, payment instruments or vouchers within the meaning of Article 2(41) of the Polish VAT Act.
  2. Cashback cannot be exchanged for cash, in whole or in part, is not paid out by bank transfer, cannot be applied to an order already placed and cannot be used to pay for a Gift Voucher.
  3. Cashback and Vouchers are assigned to the Participant's Account and cannot be transferred to another Account or to another person, including by gift, sale, inheritance or merger of Accounts. The Organiser does not transfer Balances between Accounts even where both belong to the same person.
  4. Cashback is valid for 12 months from the date it is credited to the Account. The end date of the Validity Period for each credit is visible in the Account panel. Each credit has its own Validity Period; the Balance is used starting from the oldest credits.
  5. Upon expiry of the Validity Period, unused Cashback expires and the Balance is reduced accordingly. The Participant may not demand its reinstatement, payment or the issue of a Voucher. The Validity Period is not extended, except as provided in §8(5).
  6. It is the Participant's responsibility to keep track of the Validity Period. The Organiser may, without obligation, send reminders of upcoming Cashback expiry to the Account e-mail address.
  7. The Organiser may block the Balance or a Voucher if obtained through fraud, a payment chargeback, failure to collect a cash-on-delivery shipment, or a breach of these Terms or the Store Terms and Conditions, informing the Participant at the Account e-mail address. If a Voucher obtained in such a way has already been redeemed, the Organiser may claim reimbursement of its value from the Participant.
  8. For a Participant who is a Consumer, Cashback is a discount and does not constitute taxable income. A Participant who is a business accounts for Cashback on its own in accordance with tax regulations. A Voucher is shown on the sales document as a discount reducing the prices of the goods in proportion to their value (§4(6)).

§6 Returns, complaints and disputes

  1. Complaints concerning the Programme (e.g. Cashback not credited, incorrect Balance, non-working Voucher) may be submitted in writing to the Organiser's registered office or by e-mail to support@simline.eu, stating the order number, the Account e-mail address and a description of the problem. Statements of withdrawal from a contract for the sale of goods should be sent to odstapienie@simline.eu or submitted via the form in the Store; for all other matters concerning the Programme, contact info@simline.eu. The Organiser responds within 14 days of receiving a complaint (Article 7a of the Polish Consumer Rights Act); failure to respond within that period means the complaint has been accepted.
  2. Participation in the Programme does not limit the Participant's rights of withdrawal from the contract or rights concerning non-conformity of goods with the contract set out in the Store Terms and Conditions and the Consumer Rights Act.
  3. Withdrawal from a sales contract or return of goods from a Qualifying Order results in:
    • during the Validation Period — cancellation of pending Cashback in the part attributable to the returned goods;
    • after the Validation Period — reduction of the Balance by the Cashback earned on the returned goods; if the Balance is lower, the Organiser deducts the difference from subsequent credits.
  4. Return of goods paid for using a Voucher: the Organiser refunds the Participant only the amount actually paid for the returned goods, i.e. the price after deducting the part of the Voucher attributable to those goods (§4(6)), using the same payment method the Participant used (Article 32(2) of the Consumer Rights Act). A Voucher is a single-use benefit redeemed at the moment the order is placed: its value is not refunded in cash or by bank transfer, does not return to the Balance and does not entitle the Participant to generate a new Voucher — including in the case of a partial return.
  5. If the Participant returns part of an order, the Voucher remains applied in proportion to the goods the Participant keeps, in accordance with the allocation shown on the sales document.
  6. Acceptance of a complaint about goods with a price refund is treated as a return of goods (paragraphs 3–5). Replacement of goods with defect-free goods does not change the Cashback earned.
  7. A Consumer may use out-of-court complaint and redress procedures under the Polish Act of 23 September 2016 on Out-of-Court Resolution of Consumer Disputes, in particular by applying to the Provincial Inspector of the Trade Inspection in Poznań or seeking assistance from a municipal or district consumer ombudsman. The Organiser does not participate in out-of-court dispute resolution before any other body unless required by law or unless it agrees to do so in a specific case.
  8. Disputes with Consumers are resolved by the court having jurisdiction under general rules. Disputes with Participants who are not Consumers are resolved by the court having jurisdiction over the Organiser's registered office.

§7 Personal data

  1. The controller of the Participant's personal data is the Organiser. Data (Account e-mail address, order history, Balance, Voucher history) are processed for the purpose of operating the Programme and performing the contract (Article 6(1)(b) GDPR), fulfilling tax and accounting obligations (Article 6(1)(c) GDPR), and establishing and pursuing claims and preventing abuse (Article 6(1)(f) GDPR).
  2. Data are stored for the duration of participation in the Programme and thereafter for the period required by tax regulations and until the limitation periods for claims expire.
  3. Reminders about an expiring Balance are communications related to the performance of the contract and do not require newsletter consent; the Participant may opt out of them in the Account settings.
  4. Full information on data processing, including the rights of data subjects (Article 13 GDPR), is set out in the Privacy Policy.

§8 Amendments, termination of the Programme and final provisions

  1. These Terms apply from 1 January 2025 and cover orders placed from that date.
  2. The Organiser may amend these Terms for important reasons, in particular changes in law, changes to the Store's functionality, changes to Cashback amounts or the list of products covered by the Programme, and to prevent abuse. The Organiser notifies Participants of amendments at the Account e-mail address and in the Store at least 14 days before they enter into force. Amendments do not affect Cashback earned or Vouchers generated before they enter into force.
  3. A Participant who does not accept the amendments may withdraw from the Programme under §2(5) before the date the amendments enter into force.
  4. The Organiser may terminate the Programme at any time, giving Participants at least 30 days' notice. Cashback available on the date of the announcement may be used until the Programme ends, and for no less than 30 days from the announcement; after that date the Balance expires. No Cashback is earned on orders placed after the termination is announced.
  5. The Organiser may suspend the Programme or temporarily halt the generation of Vouchers for the duration of technical work in the Store; suspension does not shorten the Cashback Validity Period. If, during the last 3 days of the Validity Period, the Account panel was unavailable for reasons attributable to the Organiser for a total of at least 12 hours, the Organiser extends the Validity Period by 7 days upon a request submitted by the Participant within 14 days of its expiry.
  6. Matters not covered by these Terms are governed by Polish law, in particular the Civil Code, the Consumer Rights Act and the Act on the Provision of Services by Electronic Means. The choice of Polish law does not deprive a Consumer from another European Union Member State of the protection afforded by the mandatory provisions of the law of that State (Article 6(2) of the Rome I Regulation).
  7. Nothing in these Terms excludes or limits the rights of Consumers under mandatory provisions of law. If any provision is found to be unfair (Article 385¹ of the Civil Code), the remaining provisions remain in force.
  8. These Terms are available on simline.eu in a form that allows them to be downloaded and saved (PDF). Archived versions of these Terms are available in the terms archive on simline.eu.
